Terms of Service

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract in your jurisdiction to use HENRY Wallet. The Service is offered only where permitted by law. By using the Service, you represent that you meet these requirements and that all information you provide is accurate and current.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

3. The Service

HENRY Wallet provides personal-finance tooling (including but not limited to net-worth tracking, budgeting, goal-setting, and the ability to connect external financial accounts via third-party aggregators) to help you understand and organize your finances. The Service is offered “as is” and may evolve over time; we may add, change, or remove features without notice.

4. Connected Financial Accounts

When you choose to link a bank, brokerage, or other financial account to HENRY Wallet, you authorize us and our third-party aggregation providers to access, retrieve, and store information from that account on your behalf. You represent that you have the right to share this information and that doing so does not violate the terms of your relationship with the underlying institution. You may disconnect a linked account at any time from your account settings.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to access another user's account, data, or any non-public area of the Service.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except to the extent permitted by applicable law.
• Interfere with, disrupt, or place an unreasonable load on the Service, including by submitting malicious code or automated traffic.
• Use the Service to provide financial, investment, tax, or legal advice to third parties as if you were authorized to do so.

6. Not Financial Advice

HENRY Wallet is an informational tool. The Service does not provide investment, tax, accounting, or legal advice, and nothing in the Service should be interpreted as a recommendation to buy, sell, or hold any security, asset, or financial product. You are solely responsible for your financial decisions. Consult a qualified professional before acting on information you obtain through the Service.

7. Fees

Some features of the Service may be free, while others may require a paid subscription. Fees, billing cycles, and refund policies for paid features will be disclosed at the point of purchase. Failure to pay applicable fees may result in suspension or termination of access to paid features.

8. Intellectual Property

The Service, including its software, design, text, graphics, and logos, is owned by HENRY or its licensors and is protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

9. Your Content

You retain ownership of any data, notes, tags, or other content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate, improve, and provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT FINANCIAL DATA RETRIEVED FROM THIRD PARTIES WILL BE COMPLETE OR UP TO DATE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HENRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

12. Indemnification

You agree to defend, indemnify, and hold harmless HENRY from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party right.

13. Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and dispute-resolution provisions) will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms within the Service or sending you an email. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of California, and you consent to personal jurisdiction in those courts.
